These Terms of Use constitute a legal agreement between you and NetWebVideo, LLC (“NetWebVideo” or "NetWebVideo.com" ).

NetWebVideo is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein. Your use of NetWebVideo constitutes your agreement to all such terms, conditions, and notices.

Modifications to the Terms of Use

NetWebVideo reserves the right to change the terms, conditions, and notices under which NetWebVideo is offered, including but not limited to the changes associated with the use of NetWebVideo. All changes shall be effective and deemed accepted by all users upon posting of such changes on the NetWebVideo Web Site. These Terms of Use and the license granted by it may not be sublet or assigned by you without NetWebVideo's advance written consent.

NetWebVideo Purchase Terms

Access to the Platinum portions of the NetWebVideo Web Site requires a one-time payment.

NetWebVideo may at times establish special promotionals, in its discretion, on such terms and conditions as may be posted on the NetWebVideo Web Site.

Promotional or trial subscriptions may provide the user to access to limited portions of the NetWebVideo Web site. The entire NetWebVideo Web site will be made available only to users paying the full one-time membership fees.

NetWebVideo provides its members with access to offers or promotions made available by or from third parties. If a NetWebVideo member provides an email address or other information to such a third party, NetWebVideo will not be responsible for the use of the information so provided. NetWebVideo will NOT provide any third party any user private information (including email addresses, etc.) without consent from the users themselves.

NetWebVideo offers all paid membership buyers a full 30-Day, 100% Money-Back Guarantee. The buyer may also request a refund for the initial paid price minus any promotional price that is offered ONLY within the first 30 days after initial purchase. The user must specifically request this discount within this same 30-day period. No refunds or rebates of any kind will be given after 30 days of initial purchase. As a condition of your use of the NetWebVideo Web Site, you warrant that you will not use the NetWebVideo for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use NetWebVideo in any manner which could damage, disable, overburden, or impair the NetWebVideo Web Site. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available.

Use of NetWebVideo Communication Services

Download any file that cannot be legally distributed in such manner.
Falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded.
Restrict or inhibit any other user from using and enjoying the services.
Violate any code of conduct or other guidelines which may be applicable for any particular service.
Harvest or otherwise collect information about others, including e-mail addresses, without their consent.
Violate any applicable laws or regulations.

NetWebVideo has no obligation to monitor these user communities. However, NetWebVideo reserves the right to review posted materials posted and to remove any materials in its sole discretion. NetWebVideo reserves the right to terminate your access to any or all of these services at any time without notice for any reason whatsoever.

NetWebVideo reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in NetWebVideo's sole discretion.

Uploaded materials may be subject to posted limitations on usage, reproduction and/or dissemination. You are responsible for adhering to such limitations if you download the materials.
Materials Provided and/or Posted to NetWebVideo NetWebVideo does not claim ownership of the materials you provide to NetWebVideo. However, by posting, uploading, inputting, providing or submitting your submission you are granting NetWebVideo permission to use your Submission in connection with the operation of their Internet businesses including, without limitation, the rights to: copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your submission; and to publish your name in connection with your submission.

No compensation will be paid for the use of your submission. NetWebVideo is under no obligation to post or use any submission you provide and it may be removed at any time in NetWebVideo's sole discretion.

By your submission, you warrant and represent that you own or otherwise control all of the rights to your submission.

Termination and Access Restrictions

NetWebVideo reserves the right, in its sole discretion, to terminate your access to the NetWebVideo Web Site and the related services or any portion thereof at any time, without notice. To the maximum extent permitted by law, this agreement is governed by the laws of the State of California, (U.S.A.) and you hereby consent to the exclusive jurisdiction and venue of courts in San Diego County, California, U.S.A. in all disputes arising out of or relating to the use of the NetWebVideo Web Site. Use of the NetWebVideo Web Site is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph. You agree that no joint venture, partnership, employment, or agency relationship exists between you and NetWebVideo as a result of this agreement or use of the NetWebVideo Web Site. NetWebVideo's performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of NetWebVideo's right to comply with governmental, court and law enforcement requests or requirements relating to your use of the NetWebVideo Web Site or information provided to or gathered by NetWebVideo with respect to such use.

If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect. Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and NetWebVideo with respect to the NetWebVideo Web Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and NetWebVideo with respect to the NetWebVideo Web Site. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be drawn up in English.

You may make such limited number of duplicates of any output, both in machine-readable or hard copy form, as may be reasonable for this purpose only.

Confidentiality of Codes, Passwords and Information

You agree to treat as strictly private and confidential any Subscriber Code, username, user ID, or password which you may have received from NetWebVideo, and all information to which you have access through password-protected areas of NetWebVideo's Website and will not cause or permit any such information to be communicated, copied or otherwise divulged to any other person whatsoever.
